Operation and Maintenance (O&M) Agreement

This O&M Agreement ("Agreement") is for use between a cleantech (solar, wind, etc) system owner and a contractor for the performance of ongoing operation and maintenance services for one or more installations. These type of agreements are important because they maximize the return on the investment and the total system's production. They also provide contractors with an additional source of revenue. Without proper operation and maintenance services being performed, the power output can go down or the systems can shut down entirely for long periods of time until repairs are performed. This Agreement contains sections including, but not limited to, obligations around the scope of services, reimbursable costs, requirements to maintain spares, standards of performance, annual reports/meetings, warranty claims, record-keeping documentation, remote monitoring, fees, metering, compensation, term and indemnification. It is designed to be mutually protective of both the cleantech system owner and contractor.
