Letter of Intent (LOI) for Purchase of Solar or Wind Farm

This Exclusive Letter of Intent (LOI) is for a purchaser to lock in exclusivity to purchase a wind or solar farm from a developer. The purchase price is based on a tiered structure that is dependent on a percentage of revenues from the Power Purchase Agreement (PPA) for the facility.  A transaction overview, the purchase price terms, a facility description, due diligence, confidentiality, non-circumvention and other key provisions are included to protect both parties pending completion of a final purchase agreement.
